To use our website or engage our services, you must meet the following eligibility requirements:

• You must be at least 18 years of age or the legal age of majority in your jurisdiction.
• You must have the legal capacity to enter into a binding agreement.
• If acting on behalf of a company, you must have the authority to bind that company to these Terms.
• You must not be located in a country subject to a trade embargo by the Government of India or any applicable jurisdiction.
• You must not have been previously barred from receiving our services by us or by applicable law.

We reserve the right to refuse service, terminate accounts, or cancel engagements at our sole discretion if eligibility requirements are not met.

You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms. The following outlines what you may and may not do:

Violation of this acceptable use policy may result in immediate termination of access or services without refund, and may be reported to appropriate law enforcement authorities.

All content, designs, code, logos, trademarks, service marks, and other materials on this website are the exclusive property of AITechGen Technologies or its licensors and are protected under applicable Indian and international intellectual property laws.

• Website Content: Text, graphics, images, and other materials on our site may not be reproduced, distributed, or used without our written permission.
• AI Deliverables: Unless explicitly stated in a project agreement, all AI models, code, and solutions developed by us remain our intellectual property until full payment is received.
• Client Data: Any data, content, or materials you provide to us remains your property. You grant us a limited licence to use such materials solely for delivering the agreed services.
• Open-Source Components: Some solutions may incorporate open-source software. Such components remain subject to their respective licences.

When engaging our services, clients agree to fulfil the following obligations to ensure successful project delivery:

• Provide accurate, complete, and timely project briefs, requirements, and feedback
• Ensure all data provided to us is legally obtained and you have rights to share it
• Designate a primary point of contact for project communication
• Respond to queries and review requests within agreed timelines
• Make timely payments as per the agreed payment schedule
• Notify us promptly of any changes in project scope or requirements
• Maintain confidentiality of any proprietary tools or methods shared during the engagement

Failure to meet these obligations may impact delivery timelines and quality, for which AITechGen Technologies shall not be held responsible.

All pricing, payment terms, and refund conditions for specific engagements are defined in individual project proposals or service agreements. The following general terms apply:

• Invoicing: Invoices are issued as per the payment milestones agreed in the project contract.
• Payment Due: Payments are due within 7–14 business days of invoice date unless otherwise stated.
• Currency: All transactions are in Indian Rupees (INR) unless explicitly agreed otherwise.
• Late Payments: Overdue payments may attract a late fee of 1.5% per month and may result in pausing project work.
• Taxes: All applicable taxes including GST will be added to invoices as required by Indian law.
• Refunds: Refund eligibility is subject to the terms outlined in the individual project agreement. Work already completed is generally non-refundable.

Both parties acknowledge that during the course of an engagement, each may have access to confidential information belonging to the other. Each party agrees to:

• Keep all confidential information strictly private and not disclose it to third parties without prior written consent
• Use confidential information solely for the purpose of delivering or receiving the agreed services
• Apply at least the same standard of care to protect the other party's confidential information as it applies to its own
• Notify the other party promptly in the event of any unauthorised disclosure or security breach

This obligation of confidentiality survives the termination of the engagement for a period of 3 years. For projects requiring a formal Non-Disclosure Agreement (NDA), a separate NDA document will be executed prior to project commencement.

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

• We do not guarantee specific business outcomes or results from our AI solutions.
• AI model accuracy and performance are dependent on data quality and use-case specifics.
• Third-party tools and APIs used in our solutions are subject to their own availability and terms.
• We are not responsible for decisions made based on AI outputs or recommendations.

To the maximum extent permitted by applicable law, AITechGen Technologies and its directors, employees, partners, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on any content or AI outputs from our platform
• Interruption or unavailability of services beyond our reasonable control
• Third-party actions, content, or services accessed via our platform

You agree to defend, indemnify, and hold harmless AITechGen Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of our website and services
• Your violation of these Terms or any applicable law or regulation
• Your infringement of any intellectual property or other rights of any third party
• Any content, data, or materials you submit, post, or transmit through our platform
• Any misrepresentation made by you in connection with our services

AITechGen Technologies reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defence of these claims.

Either party may terminate a service engagement under the following conditions:

• By Client: With written notice as per the timeline specified in the project agreement. Payment for all work completed up to the termination date remains due.
• By AITechGen Technologies: We may terminate or suspend access to our services immediately, without prior notice, if you breach any provision of these Terms or fail to make timely payment.
• Mutual Agreement: Both parties may agree in writing to terminate an engagement at any time on agreed terms.

Upon termination, all rights granted to you under these Terms will immediately cease. Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

AITechGen Technologies shall have no liability to you or any third party for any termination of your access to our services.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
• Arbitration: In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India).
• Language: All proceedings shall be conducted in the English language.

We reserve the right to update or modify these Terms at any time. When we do, we will:

• Update the "Last Updated" date at the top of this page
• Post a prominent notice on our website for material changes
• Notify active clients via email where the changes significantly affect ongoing engagements

Your continued use of our website or services after any changes to these Terms constitutes your acceptance of the updated Terms. We encourage you to review this page periodically. If you do not agree with any updated Terms, you must stop using our website and services.
